CONTEST RULES AND REGULATIONS ("Official Rules")

No purchase necessary to Enter or CLAIM PRIZE. THE CONTEST IS OPEN ONLY TO LEGAL UNITED STATES RESIDENTS (excluding its territories, military installations and commonwealths) WHO ARE NOT RESIDENTS OF ARIZONA, RHODE ISLAND OR PUERTO RICO AND HAVE INTERNET ACCESS PRIOR TO THE START DATE OF THE CONTEST. DO NOT PROCEED FURTHER IN THIS SITE IF YOU ARE NOT LOCATED IN THE UNITED STATES. ENTRANTS MUST BE EIGHTEEN (18) YEARS OR OLDER AS OF FEBRUARY 15, 2008 TO PARTICIPATE.

Eligibility:
No purchase necessary to Enter or CLAIM PRIZE. The takepart.com and eyespot Chicago 10 Video Remix Contest (the "Contest") is open only to legal residents of the United States (excluding its territories, military installations and commonwealths) who are not residents of Arizona, Rhode Island or Puerto Rico who are eighteen (18) years of age or older as of February 15, 2008 ("Entrants"). Employees of Participant Productions, LLC, ("Participant Productions") takepart.com and eyespot.com ("eyespot") or other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of all such employees, are not eligible. This Contest is also void where prohibited by law.

Sponsor:
The sponsor of the Contest is Participant Productions, LLC d/b/a takepart.com, 335 Maple Drive, Suite 245, Beverly Hills, CA, 90210 (the "Sponsor").

Agreement to Official Rules:
Participation in the Contest constitutes Entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. By entering, Entrant also unconditionally agrees to waive any right to claim ambiguity or error in these Official Rules or in the Contest itself. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Contest Period:
The time to submit entries begins on February 15, 2008 at 12:01 a.m. PST and ends on May 09, 2008 at 11:59 p.m. PST (the "Entry Period"). Entries that are submitted before or after the Entry Period will not be considered and will not be eligible to win.
As described more fully below, first-round judging will take place between May 9, 2008 and May 11, 2008 and final judging will take place on or around May 13, 2008. The Sponsor will use commercially reasonable efforts to attempt to notify the final Winner upon selection.

How to Enter:
a .
Beginning on February 15, 2008, video clips from the new Participant Productions film "Chicago 10" will be available online at Eyespot.com. http://eyespot.com/promotion/Chicago10

b.
All Entries must meet each of the following requirements:
i.
In order to use eyespot.com, Entrant must have an eyespot.com account. Registration for an eyespot.com account is free, and the account may be cancelled at any time. Registration on eyespot.com is governed by eyespot.com's Terms of Use, posted at http://eyespot.com/terms/#.

ii.
Entrants must create a mix video on eyespot.com using footage from at least one of the "Chicago 10" video clips (the "Entry"). Entries may use any number or combination of the available "Chicago 10" video clips. The mix video must be between thirty (30) and ninety (90) seconds in length. Entries that do not fall within this range will not be considered.

iii.
Except for the video materials provided by Sponsor through eyespot.com for use in the Entry, the Entry may not contain any trademarks, logos, or copyrighted elements other than trademarks, logos, or copyrighted elements owned in their entirety by the Entrant. Except for the Sponsor-provided video materials, any elements that appear in the Entry, including without limitation, images, music, audio, speech, or other audiovisual materials, must be either entirely original, created and performed by Entrant or must be in the public domain. Use of any elements that are not original or in the public domain will result in disqualification of the Entry, in the Sponsor's sole discretion.

iv.
To be valid, the Entry may not (1) be obscene or indecent, (2) contain defamatory statements, (3) include threats to any person, place, business, or group, or (4) invade privacy rights or any other rights of any person, business, or group. All final decisions as to any of these requirements will be made by the Sponsor and are not subject to appeal.

c.
After the remix has been created and saved to eyespot.com, Entrant MUST complete additional steps to submit the Entry through eyespot.com. Entrant MUST click the "Submit" link on the Chicago 10 eyespot.com contest page to have the mix video entered into the Contest. Valid Entries submitted during the Entry Period will be posted to eyespot.com, and registered visitors to the site will be able to view the Entries beginning on May 15, 2008. Submitted Entries become the property of the Sponsor and will not be returned or retransmitted to Entrant.

d.
In order to submit an Entry, Entrant must complete an online Entry Form signifying agreement with these Official Rules and supplying certain personal information. This Entry Form requires the following information from Entrant and any collaborators in the Entry: full name, address, telephone number, valid email address, date of birth. The personal information collected will be used for two purposes: (1) to verify eligibility; and (2) to add Entrant and any Entry collaborators to the mailing list of takepart.com, a social action network website run by the Sponsor. Any such uses will be pursuant to the takepart.com Privacy Policy, posted at www.takepart.com/privacy. (To unsubscribe from such mailings, Entrants may either call 1-866-9-TAKEPART or follow the directions in any mailing.)

e.
Entrants may collaborate with others in creating their Entries, so long as all Entrants and collaborators each individually meet the Eligibility criteria. Entrants may submit (individually, or as part of a team) up to five (5) Entries, any one of which may be eligible to win. Any Entries in excess of this number will be disqualified and are not eligible to win.

f.
In the event that an Entrant's mix is chosen as the Winner (see below), Entrant and any collaborators in the Entry will be required to sign additional waivers and affidavits as described below.

Entrant's Warranties and Representations:
By submitting an Entry, each Entrant (and any collaborator(s) in the Entry) warrant(s) and represent(s) that the Entry (a) is original to such Entrant; (b) does not infringe the intellectual property, privacy, publicity, or any other rights of any third party; (c) does not violate any law or regulation; (d) has not previously been entered in any other contest; and (e) has not been previously published in any medium.

Moreover, the Entrant warrants and represents that he/she owns all rights to his/her Entry and is able to grant to the Sponsor the rights described in the "Sponsor's Rights to Entries" section below.

Sponsor's Rights to Entries:
By submitting a Entry, each Entrant (and any collaborator(s) in the Entry):
a.
Irrevocably grant(s) to the Sponsor, its agents, licensees, and assigns the unconditional and perpetual right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works from, exhibit, and otherwise use the Entry (with or without using the Entrant or any collaborators' name(s)) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from the Entrant or any other party;
b.
Forever waives any rights of copyrights, trademark rights, privacy rights, and any other legal or moral rights that may preclude or affect the Sponsor's use of the Entrant's Entry, or require the Entrant's permission for the Sponsor to use the Entry.
c.
Agrees not to instigate, support, maintain, or authorize against the Sponsor any action, claim, judicial or arbitral proceeding, or lawsuit on the grounds that any use of the Entry, or any derivative works, infringes any of the Entrant's rights as creator of the Entry, including, without limitation, copyrights, trademark rights, and moral rights.
d.
Irrevocably grant(s) to the Sponsor, in perpetuity throughout the world, the right to use or license to others the name(s), voice(s), likeness(es), picture(s), portrait(s), biographical information, written submissions, written or oral statements and any and all identifying characteristics of the Entry and each Entrant, for purposes including, but not limited to, advertising, promotion and publicity, or for any other reason in any medium now known or hereafter discovered, without further consent or compensation. Entrant (and any collaborators in the Entry) waive(s) any right to inspect or approve any such use of any and every nature and kind.

Selection of Winner:
a.
At some point between May 9, 2008 and May 11, 2008, the digital marketing teams of takepart.com and eyespot.com (collectively, "First-Round Judges") will judge all valid Entries on the basis of several factors. These factors are (1) innovative and compelling use of video clips, (2) originality, (3) aesthetic appeal and (4) cohesive flow of the mix (all factors will be weighed equally). From among all valid Entries, the First Round Judges will name the ten (10) best Entries (collectively, the "Qualifying Finalists").
Although Entrants are allowed to submit up to five (5) Entries, only one (1) of those Entries may be chosen to be a Qualifying Finalist.

b.
Then, on or about May 12, 2008, Brett Morgen, the director of "Chicago 10," will select one (1) winner ("Winner," such chosen Entry the "Winning Entry") from among the Qualifying Finalists. The Winning Entry will be chosen on the basis of same four (4) factors identified above (again, all factors will be weighed equally). The decisions of Mr. Morgen are final and are not subject to review. In the event that Mr. Morgen is unable to serve as a judge, the Sponsor will (in its sole discretion) select an alternate judge or judges.

The odds of winning depend on the relative performance of all Entrants and the number of valid Entries received. The Sponsor will use commercially reasonable efforts to attempt to notify the Winner upon selection.

Requirements of a Potential Winner:
Except where prohibited, a potential Winner will be required to sign and return an affidavit of eligibility and a liability/publicity release. In addition, a potential Winner will be required to sign a release in which he/she irrevocably assigns and transfers to the Sponsor any and all rights, title and interest in the Entry, including, without limitation, all copyrights and trademark rights, and waives all moral rights in the Entry, as described above. Documents must be signed, notarized, and returned to the Sponsor by May 15, 2008. If a potential Winner fails to sign and return the required documents within the required time period or is otherwise ineligible to receive the prize, an alternate Winner may be selected in his/her place according to the selection procedures set forth above.

Prizes:
The Winning Entry will be included among the bonus features on the "Chicago 10" DVD. The Entrant(s) responsible for creating the Winning Entry will receive attribution in the "Chicago 10" DVD bonus features and will also receive a "Chicago 10" poster autographed by director Brett Morgen and a DVD of "Chicago 10" when it is released. Estimated value of all prizes is $100.00. Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. The Winner is responsible for any and all other costs and expenses not listed above. Prizes may be reported as income to the Winner and the Winner will be responsible for all taxes associated with the receipt of a prize.

General Conditions:
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bugs, tampering, unauthorized intervention or other technical problem, the Sponsor may, in its sole discretion suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules.

The Sponsor reserves the right (in its sole discretion) to modify or cancel this Contest or to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the participant. The "authorized account holder" is the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Release and Limitations of Liability:
By participating in the Contest, Entrants agree to release and hold harmless the Sponsor, its affiliates, officers, directors, employees, and agents (collectively, the "Released Parties") from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) any technical error(s) that may prevent an Entrant from submitting an entry; (b) unauthorized human intervention in the Contest; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail or electronic mail; (e) errors in the administration of the Contest or the processing of entries; or (f) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant's participation in the Contest or receipt of any prize. Entrant further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of participating in the Contest, and in no event shall the Released Parties be liable for attorneys' fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Disputes:
Except where prohibited, Entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of California. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant's/collaborators' rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

Contest Results:
To request a list of Winners, send a self-addressed, stamped envelope to The Chicago 10 Video Remix Contest Winners List, Participant Productions, LLC, 335 Maple Drive, Suite 245, Beverly Hills, CA 90210. Requests must be received within one (1) year of the end of the Entry Period. (Residents of Vermont are not required to send postage.)
